TERMS OF BUSINESS

These terms and conditions of business (“Terms”) are the contract between Acudemy Ltd and you, the client (“You”). These terms together with an Acudemy Enrolment Form signed by You supersedes any other contract, including any purchase order terms preferred by You unless otherwise agreed between us in writing.

PRICES

All pricing quotations are only valid for 7 days from the date that they are first sent to the client. All prices are subject to change due to the dynamic nature of our business and of the training industry. The published prices exclude VAT. Clients and Companies must pay ‘Acudemy Limited’ any VAT that is chargeable on services that are provided; Acudemy will list the correct VAT amount on the invoice – as required by statute. All quotations exclude VAT. If the corresponding purchase is pursued, as required by statute, VAT will be applied at the point of purchase and feature within the sales invoice. VAT is payable regardless of the Client’s country of origin; the point of supply for VAT purposes is the location of the course.

If a third-party vendor, certification body, or service provider alters their examination fee or material cost, Acudemy reserves the right to adjust the relevant training course prices to reflect such alterations. Training event prices listed on correspondence, brochures, leaflets, and materials belonging to Acudemy are not legally binding due to anticipated price fluctuations.

ONSITE / IN-HOUSE TRAINING

The published prices do not include any travel, accommodation, or living expenses that the client may incur unless specifically mentioned on our Quote Terms.

PAYMENT TERMS

The course fee(s), including VAT, are payable in full immediately upon receipt of the invoice. Clients wishing to make payments made from Non-UK accounts must be responsible for all bank charges in relation to the overseas transactions.

Without prejudice or distortion to alternative rights listed, Acudemy will impose a late payment charge of 5% over the Bank of England base rate. Payments can be made by major credit and debit cards, including American Express.

Where a Purchase Order is issued, it must clearly state the purchase order number, course dates, full Invoice amount, and contact details for invoicing. When more than one course is booked on the same booking form, full payment for all courses is required immediately upon confirmation before the commencement of the first course.

Acudemy contracts must be paid in full upon confirmation – prior to any clients attending an event. Acudemy reserves the right to refuse entry to a training event until the course fee is paid in full. Please also note that examination results and certificates will not be issued until the full fee has been paid. It is the responsibility of the Client to ensure that the person that approved the purchase of a product, has the correct purchasing authority.

Should a delegate wish to pay via Acudemy instalment facility and fail to keep up with any outstanding payments then Acudemy can commence any actions to recover any outstanding fees. If Acudemy, is unable to recover the fees, the course will be suspended, and further legal proceedings will be commenced to recover full outstanding fees. The additional administration and legal costs which will be incurred to enforce this debt will be added to the total amount outstanding and payable by the delegate.

CANCELLATIONS AND REFUNDS

INSTALMENT PLANS

We offer instalment plans for our courses to help make them more affordable and accessible. By applying for an instalment plan, you agree to pay the total cost of the course(s) in the agreed upon number of instalments, as detailed on the instalment plan application form. The instalment plan may include a down payment, which will be deducted from the total cost of the course(s).

Please note that if you fail to make any of the scheduled payments, we reserve the right to suspend your access to the course(s) until payment is received in full. We may also charge late payment fees as outlined on the instalment plan application form.

By applying for an instalment plan, you acknowledge that you have read and understood our GDPR notice and agree to the collection, processing, and storage of your personal data as described therein.

We reserve the right to modify or terminate the instalment plan service at any time, without notice. If you have any questions or concerns about our instalment plan service or terms and conditions, please contact us.

TUTOR LED COURSES

Acudemy will endeavour to ensure that all tutor-led courses run on the specified dates. However, in the unlikely event a course needing to be rescheduled, we will accept no liability whatsoever save for the return of the course fees paid if the delegate is unable or unwilling to reschedule.

POSTPONEMENT

Acudemy reserves the right to cancel, move, and reschedule a training event or course due to circumstances that are beyond Acudemy’s control, such as trainer illness, bad weather or low attendance. Reasonable efforts will be made to contact and notify clients of any alterations to their training event or course. If a training event is cancelled, Acudemy will re-allocate Clients on to future training events with the Client’s consent.

SUBSTITUTION

No charge will be made for the substitution of students. If documentation has already been sent out then it is your responsibility to ensure that the new delegate receives the required information prior to the commencement of training.

COPYRIGHT

All course notes and materials are subject to copyright and other rights belong to Acudemy or our licensors. Course notes and materials provided to students are on loan for the exclusive use of the individual delegate. No part of the course notes or materials may be reproduced or transmitted in any form, or by any means, electronically or mechanically including photocopying, recording or any information storage or retrieval system without the prior written permission of Acudemy. Course notes and materials are provided subject to the condition that they shall not by way of trade or otherwise, be lent, resold, hired out, or otherwise circulated without the prior written permission of Acudemy. Any unauthorised use, duplication or lending of course notes or materials without the prior written consent of Acudemy is strictly prohibited.

ACUDEMY LIABILITY

Acudemy provides training courses and services solely by reference to their description and where permitted by law we exclude all other warranties, express or implied statutory or otherwise from these Terms. Acudemy total liability to You, other than for death or personal injury caused by our negligence or for fraud or where such limitation is prohibited by law, for any losses costs expenses or damages under these Terms shall be limited to the total Fees paid or payable by You. Under no circumstances shall Acudemy have any liability to you for loss of profit, revenue, anticipated savings or bargain or loss or corruption of data or software or for any indirect special or consequential losses.

GENERAL

These Terms are governed by the law of England and Wales and are subject to the exclusive jurisdiction of the English Courts. Acudemy shall not be liable for any failure to fulfil its obligations where such failure is due to circumstances beyond its reasonable control.

Baseline Emissions Footprint

The baseline emissions refer to the greenhouse gases that have been generated in the past, and prior to the implementation of any measures aimed at decreasing emissions. They serve as a benchmark for evaluating the effectiveness of any reduction strategies implemented thereafter.

The determination of baseline emissions is a crucial first step in developing a comprehensive carbon reduction plan. By establishing an accurate record of past greenhouse gas emissions, it becomes possible to identify areas for improvement and to set achievable targets for future reductions. The implementation of effective carbon reduction strategies is essential in addressing the pressing global issue of climate change and in mitigating its damaging effects on the environment. By committing to a well- structured and thoughtful carbon reduction plan, organisations can contribute to a sustainable future while reaping the benefits of reduced operational costs and enhanced public image.

Acudemy Limited has adopted a comprehensive carbon reduction plan to reduce its carbon footprint. The baseline emissions for the plan were calculated using the Greenhouse Gas Protocol Corporate Standard, using the operational consolidation (control) approach. The emissions are categorised into three scopes, with category 7 covering both commuting travel and emissions generated while working from home. By using this comprehensive calculation method, Acudemy can assess its carbon footprint and develop effective strategies to reduce its greenhouse gas emissions. This plan will enable Acudemy to play a crucial role in mitigating the effects of climate change and contribute towards building a more sustainable future.

Emissions reduction targets

As part of our continued efforts to achieve Net Zero, we have set ambitious carbon reduction targets. These targets include reducing scope 1 and 2 carbon emissions by 95% by 2026 and achieving carbon neutral operations (scope 1 and 2) by 2023.

Additionally, we aim to reduce scope 1, 2 and 3 carbon emissions by 95% by 2040. These targets demonstrate our commitment to mitigating the effects of climate change and to building a more sustainable future. We believe that by adopting these targets, we can make a significant contribution towards achieving Net Zero and creating a more environmentally responsible business.

We are pleased to report that our carbon reduction plan is already showing positive results. We project that carbon emissions will decrease over the next five years to 408 tCO2e by 2028, which represents a reduction of 30%. We are confident that we can achieve this target and are committed to implementing further measures to reduce our carbon footprint in the future.

Our progress against these targets can be seen in the graph below. We believe that transparency and accountability are key to achieving our goals, and we will continue to track our progress and report on our achievements to ensure that we are on track to meet our carbon reduction targets.

This Carbon Reduction Plan has been completed in accordance with PPN 06/21 and associated guidance and reporting standard for Carbon Reduction Plans. Emissions have been reported and recorded in accordance with the published reporting standard for Carbon Reduction Plans and the GHG Reporting Protocol corporate standard1 and uses the appropriate Government emission conversion factors for greenhouse gas company reporting2.
